Terms of Service (ToS)

This Terms of Service ("ToS" or "Agreement") constitutes a legally binding contract between you ("Customer," "User," or "you") and BelgiumVM ("belgiumvm.be", "we," "us," or "our"), operating as the sole proprietorship (eenmanszaak) Leemans, Niels, registered in Belgium.

By registering for, accessing, or using any services provided by BelgiumVM, including but not limited to Virtual Private Servers (VPS), dedicated servers (bare metal), and related services, you agree to be bound by these Terms of Service.

This Agreement incorporates by reference the following policies, which are maintained as separate documents. By agreeing to this ToS, you also agree to strictly adhere to:

  • Acceptable Use Policy (AUP): Outlines permitted and prohibited activities on our network.

Violation of these policies constitutes a material breach of this ToS and may result in immediate suspension or termination of your services.

2. Service Provision and Account Security

  • Account Information: You must provide accurate, current, and complete information during registration. You are solely responsible for maintaining the confidentiality of your account credentials.
  • Security Responsibility: You are entirely responsible for all activities that occur under your account and on your assigned servers/Virtual Machines. BelgiumVM is not responsible for any unauthorized access to your account or server infrastructure resulting from your failure to implement adequate security measures.

3. Payments, Billing, and Renewals

  • Prepayment: All services are provided on a prepaid basis. Services will not be provisioned or renewed until payment has been successfully received, unless communicated otherwise.
  • Late Payments: Failure to pay renewal invoices by the due date may result in service suspension. Continued non-payment will result in termination of the service and irreversible deletion of all associated data.
  • Refunds: Due to the nature of digital hosting resources, all sales are final. Refunds are provided solely at the discretion of BelgiumVM, unless otherwise mandated by Belgian or European Union consumer protection laws for non-business entities.

4. Backups and Data Loss

BelgiumVM takes no responsibility for your data.

  • Customer Duty to Backup: You are strictly and solely responsible for maintaining your own independent, off-site backups of all data stored on our servers.
  • No Backup Guarantee: While BelgiumVM may implement internal infrastructure backups for disaster recovery purposes, these are not guaranteed. Furthermore, any customer-facing backup functionality (e.g., snapshots, automated backups provided through our control panel) is provided strictly on a "best-effort" basis and carries no guarantee of availability or integrity. Specifically, we do not guarantee geographic decentralization of backup data; backups may reside in the same physical location or data center as the primary service, making them susceptible to site-wide failures.
  • Absolute Exemption from Data Loss: Under no circumstances shall BelgiumVM, or its owner, be held liable for any loss, corruption, alteration, or deletion of data, regardless of the cause. This includes, but is not limited to, hardware failure, network outages, software bugs, human error, malicious cyberattacks, or actions taken by us enforcing our ToS.

5. Limitation of Liability and Business Loss

As BelgiumVM operates as an eenmanszaak (sole proprietorship), the limitation of liability is a fundamental condition of providing our services to you. To the maximum extent permitted by applicable Belgian and European Union law:

  • No Indirect Damages: BelgiumVM and its owner shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
  • Excluded Losses: We are explicitly not liable for any loss of profits, loss of revenue, loss of business opportunities, loss of goodwill, downtime costs, or reputational damage arising from your use of, or inability to use, our services.
  • Liability Cap: In the event that BelgiumVM is found legally liable for any direct damages despite the above clauses, our total cumulative liability shall not exceed the total amount paid by you to BelgiumVM for the specific service in question during the one (1) month immediately preceding the event giving rise to the claim.

6. Disclaimer of Warranties

Our Commitment: We pride ourselves on delivering a highly reliable and performant service. We operate on a strict "best-effort" basis and work incredibly hard to ensure our network remains uninterrupted, secure, and error-free, a track record our existing customers know and trust.

The Legal Reality: However, because we rely on physical hardware and complex internet infrastructure, unexpected issues can occur. Therefore, legally, all services are provided strictly on an "AS IS" and "AS AVAILABLE" basis. BelgiumVM expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. While we do our utmost to prevent them, we make no absolute legal warranty that our services will be uninterrupted, timely, 100% secure, or completely error-free.

7. Indemnification

You agree to indemnify, defend, and hold harmless BelgiumVM, its owner, and any affiliated partners from any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal and attorney fees) arising from:

  1. Your violation of this ToS, including Related Policies (section 1).
  2. Any content, data, or materials hosted on your server that infringe upon the intellectual property or legal rights of a third party.
  3. Any malicious activity, hacking, or disruption originating from your server, whether intentional or due to compromised security on your end.

8. Suspension and Termination

  • By the Customer: You may cancel your service at any time through the billing panel. Cancellations take effect at the end of the current billing cycle.
  • By BelgiumVM: We reserve the right to suspend or terminate your services at any time, with or without notice, for any violation of these Terms of Service, including Related Policies (section 1), or if we determine that your continued use poses a risk to our infrastructure, our reputation, or other customers.
  • Post-Termination: Upon termination, all data on the server may be permanently destroyed. We have no obligation to retain any data after a service has been terminated.

9. Governing Law and Jurisdiction

  • Applicable Law: This Agreement, and any disputes arising out of or related to it, shall be governed exclusively by the laws of Belgium.
  • Jurisdiction: Any legal actions or proceedings shall be brought exclusively before the competent courts of the judicial district of Antwerp, division Mechelen, Belgium. You consent to the exclusive jurisdiction and venue of these courts.

10. Modifications to the Terms

BelgiumVM reserves the right to modify these Terms of Service at any time. Changes will be posted on our website and will take effect immediately upon publication. Continued use of our services after any such changes constitutes your acceptance of the revised ToS.
